Public Buy-Out Offer

The following section contains documents and information relating to the proposed public buy-out offer for the TERACT shares and BSAR B, followed, if applicable, by a squeezed-out (together the “TERACT Shares”) (the “Offer”).

TERACT shareholders located outside of France may participate in the Offer only to the extent that such participation is permitted under the local laws to which they are subject. TERACT shareholders affected by the Offer are advised to review the information document when they are published, as well as other documents relating to the Offer, regarding important information.
